Composing agreements to ensure continuity and stability

Translating the firm’s vision, strategy and operation modes to various agreements, which clearly define its goals, its management structure, its decision-making mechanisms, and its capital distribution system, to meet current and long run business and family interests.

The absence of written agreements, which formalize patterns of operation, decision-making processes, and relations between firm organs, is very common among family firms.

However, at some stage, and especially during an intergenerational transmission, the necessity of formal agreements becomes most apparent. Written agreements are needed to clarify complex issues such as property distribution, relations between shareholders and directors, organizational hierarchy, working principles, decision-making mechanisms, and intergenerational transmission. Formulating the necessary documents will assist the firm in improving its performances and in creating growth, and will ensure its stability in the long run.

Composing constitutional documents for the firm is an empowering process, which infuses the firm with team spirit, since all relevant firm members are active and involved in the mission. Together we define clear principles, which reflect the interests and aspirations of the parties involved, as well as the firm’s strategic goals.

Following this, we compose a constitution, which all other required agreements are derived from, including wills of company founders, shareholders’ agreement, articles of association, employment contracts, and pre-nuptial agreements. If needed, external professionals are recruited for the process.

We strive to adapt all agreements to the firm’s strategy and vision and to create synergy between all various agreements. In turn, this synergy serves to increase solidarity among firm members.
